Notice to the Market – Sale of Rede D\u2019Or S\u00e3o Luiz S.A. Shares<\/h2>\n

Rio de Janeiro, May 27, 2015\u00a0<\/strong>– BANCO BTG PACTUAL S.A. (\u00abBTGP\u00bb), in compliance with CVM Rule 358 dated January 3, 2002, as amended, hereby informs its shareholders and the securities market that, on this date, it has sold to the GIC shares of Rede D\u2019Or S\u00e3o Luiz S.A. (\u00abCompany\u00bb) under its management, representing both proprietary and third-party investments (such third-parties, when referred to jointly with BTGP, the \u00abInvestors\u00bb). The transaction, in the total amount of R$ 1,600,000,000.00 (one billion and six hundred million reais), represents a sale of part of the total participation held by the Investors in the Company, as a result of the conversion of the debentures issued by the Company, provided that the Investors shall remain shareholders of the Company.<\/p>\n
